Antitrust and Code of Conduct Policy
The Concrete Contractors Association of Arizona (the “Association”) is a voluntary, not-forprofit
organization that brings together members of the concrete and construction
industries to promote technical excellence, safety, and professional development. In all its
activities, the Association is committed to full compliance with applicable antitrust laws and
the highest standards of professional conduct.

Antitrust Policy
The Association's policy is to comply strictly with the letter and spirit of all federal and state
antitrust laws. These laws prohibit anticompetitive agreements, attempts to monopolize,
and other conduct that may restrain trade. The Association will not be used as a forum for
unlawful conduct.

Prohibited Antitrust Activities
No Association activity or communication shall be used for the purpose of bringing about,
or attempting to bring about, any understanding or agreement among members to:

Fix or coordinate prices, discounts, or terms of sale

Allocate markets, customers, or territories

Coordinate bids or proposals
-
Boycott or refuse to deal with any customers, suppliers, or competitors

Limit production or output
-
Exchange competitively sensitive information, such as future pricing, costs, profit margins,

or marketing plans

Employers may not enter into agreements – formal or informal – not to recruit, solicit, or
-
hire each other’s employees, as such conduct violates antitrust laws.

Meeting Guidelines
All Association meetings must:

Have a formal agenda prepared and distributed in advance
-
Limit discussion to agenda topics and lawful purposes

Be documented with accurate minutes
-
Immediately halt any inappropriate discussions

Include legal counsel if necessary

Member Responsibility
Each member is responsible for understanding and complying with this policy. Informal
conversations and digital communications must also avoid any appearance of
anticompetitive behavior.

Violations and Enforcement
Violations of this policy may result in disciplinary action including removal from the
Association and referral to legal authorities.

Code of Conduct Aligned with Antitrust Policy
In addition to complying with antitrust laws, all Association members, officers, and event
participants are expected to uphold the following standards of conduct to preserve a
professional, ethical, and legally compliant environment:

Treat all members and participants with respect and professionalism

Foster an environment of open, inclusive, and lawful collaboration

Avoid discussions that could lead to or appear to involve anticompetitive behavior

Refrain from using Association events to discuss business decisions involving pricing,
-
bidding, or market strategy

Respect confidentiality of Association proceedings and avoid misuse of proprietary
-
information

Promptly report any observed or suspected violations of this policy to Association
-
leadership

By participating in the Concrete Contractors Association of Arizona, members acknowledge
their understanding of and commitment to this Antitrust and Code of Conduct Policy. This
ensures our Association operates as a trusted, law-abiding, and professional organization.
